General Terms and Conditions of Sale

This English version is provided for customer convenience. In case of conflict between the Italian and English versions, the Italian version shall prevail, without prejudice to any mandatory consumer rights under applicable law.

1. Seller

These Terms and Conditions of Sale govern purchases made through the Consiglio Shop online store.

For requests concerning orders, shipping, returns, complaints or technical assistance, the Customer may contact the Seller using the contact details above.

2. Scope of application

These Terms and Conditions of Sale apply to all orders placed through Consiglio Shop.

The website is intended for both professional customers, companies, craftsmen, businesses and VAT holders, and private consumers.

For the purposes of these terms:

  • “Professional Customer” means a person or entity purchasing in the course of its business, commercial, craft or professional activity;
  • “Consumer” means a natural person purchasing for purposes unrelated to any business, commercial, craft or professional activity.

Consumers benefit from the mandatory protections provided by the Italian Consumer Code. Professional Customers are subject to the B2B conditions, unless otherwise agreed in writing between the parties.

By submitting an order, the Customer accepts these Terms and Conditions of Sale.

3. Products and technical information

Product pages show the main characteristics of the items sold, including descriptions, images, sizes, materials, grits, hardness, shapes, compatibility and other available technical data.

Images are for illustrative purposes and may differ slightly from the product actually delivered due to colour, packaging, technical updates or changes introduced by manufacturers, without altering the essential characteristics of the product.

The products sold include abrasives, tools, accessories, machines and technical solutions for industrial, craft and professional applications. Some products may be made, cut, configured or supplied upon the Customer’s request.

Before purchasing, the Customer must verify that the product is suitable for the intended use, taking into account the technical information shown on the product page and the manufacturer’s instructions. In case of doubt, the Customer may contact the Seller before completing the order.

4. Prices, VAT and additional costs

All prices are expressed in Euro.

The website may display prices in B2B or B2C mode, with VAT excluded or included depending on the Customer profile, display mode or Customer settings. In any case, before confirming the order, the Customer will see the order total, VAT where applicable, shipping costs and any additional charges.

Shipping costs are not included in the product price unless otherwise stated. They are calculated based on destination, weight, volume, order value, delivery method and other logistics parameters, and are always shown before the order is completed.

Any promotions, free shipping thresholds or special conditions are applied as indicated on the website and summarised before order confirmation.

5. Registration, order and conclusion of the contract

In order to make a purchase, the Customer may be required to register on the website by providing complete, accurate and up-to-date information.

Professional Customers must provide the tax details required for invoicing, including company name, VAT number, SDI code or certified e-mail address, where required.

The Customer is responsible for the accuracy of the information entered during registration and order placement.

The order submitted by the Customer constitutes an offer to purchase. The contract is concluded when the Seller sends an order confirmation to the e-mail address provided by the Customer during registration or purchase.

The Seller reserves the right not to accept or to cancel an order in the event of:

  • product unavailability;
  • obvious error in price or description;
  • incomplete or incorrect data;
  • order anomalies;
  • non-payment;
  • credit risk;
  • suspected fraudulent use of payment methods;
  • impossibility to deliver to the address provided.

If payment has already been made and the order is not accepted or is cancelled by the Seller, the amounts paid will be refunded.

6. Payment methods

Payment may be made through the methods shown during checkout, including, by way of example:

  • credit card or electronic payment systems;
  • advance bank transfer;
  • any deferred payment terms, such as bank receipt or other agreed instruments, where previously authorised for registered Professional Customers.

In case of advance bank transfer, order processing will start after the amount due has actually been credited, unless otherwise agreed in writing.

For Professional Customers with agreed payment terms, the Seller reserves the right to suspend or revoke such terms in the event of late payments, exceeded credit limits, changes in credit risk or other justified commercial reasons.

7. Invoicing

The invoice, where applicable, is issued based on the data provided by the Customer during registration or order placement.

The Customer is responsible for the accuracy of the tax data provided. Any request to modify invoicing data must be communicated promptly and in any case before the invoice is issued.

8. Shipping and delivery

Shipping methods, estimated delivery times, countries served and delivery costs are described in the “Shipping and Delivery” page, which forms an integral part of these Terms and Conditions of Sale.

Products available in stock are normally handed over to the carrier within 48 working hours from order confirmation or receipt of payment, unless otherwise indicated on the product page, during checkout or in the order confirmation.

Delivery times shown on the website are estimates and may vary depending on product availability, destination, carrier, weight or volume of the goods, holidays, force majeure or events not attributable to the Seller.

For Consumers, the risk of loss or damage to the goods passes to the Customer when the Customer, or a third party designated by the Customer other than the carrier, physically takes possession of the goods, except where the carrier was chosen directly by the Customer and such choice was not proposed by the Seller.

For Professional Customers, unless otherwise agreed in writing, the goods travel at the customer’s risk from the moment they are handed over to the carrier. Any damage, tampering or shortages must be reported to the carrier upon delivery by entering a specific reservation on the transport document.

9. Checking the goods upon delivery

Upon delivery, the Customer is invited to check:

  • the number of parcels;
  • the integrity of the packaging;
  • the absence of visible damage;
  • the correspondence between the delivered goods and the transport documents.

In case of damaged, wet, opened, tampered or non-intact packaging, the Customer must accept the goods with a specific reservation, clearly indicating the problem on the carrier’s document.

For Professional Customers, failure to enter a specific reservation may result in the loss of rights to make claims against the carrier, within the limits provided by applicable law.

10. Right of withdrawal for Consumers

The Consumer has the right to withdraw from the contract, without giving any reason, within 14 days from the day on which the Consumer receives the products.

The procedures for exercising the right of withdrawal, return conditions, return costs and refund times are described in the “Returns and Refunds” page, which forms an integral part of these Terms and Conditions of Sale.

The right of withdrawal does not apply to Professional Customers.

The right of withdrawal may also be excluded, in the cases provided by law, for products made to measure or clearly customised, as well as for other products or services falling within the exceptions provided by applicable law.

11. B2B commercial returns

Purchases made by Professional Customers, companies, craftsmen, businesses or VAT holders are not subject to the right of withdrawal granted to Consumers under the Italian Consumer Code.

Any B2B commercial returns must be authorised in advance in writing by the Seller. Unauthorised returns from Professional Customers may be refused.

12. Warranty and complaints

Consumers benefit from the legal guarantee of conformity provided by the Italian Consumer Code. For new goods, the legal guarantee lasts two years from delivery and covers any lack of conformity existing at the time of delivery that becomes apparent within that period, within the limits provided by law.

In the event of lack of conformity, the Consumer is entitled to the remedies provided by applicable law, including, where the conditions are met, repair, replacement, price reduction or termination of the contract.

For Professional Customers, the warranty for defects provided by the Italian Civil Code applies. Defects must be reported in writing within 8 days of discovery, within the terms and according to the procedures provided by law. Legal action is subject to the limitation periods provided by law.

The warranty does not cover damage or defects resulting from:

  • improper use of the product;
  • assembly or use not compliant with instructions;
  • tampering;
  • normal wear and tear;
  • negligence;
  • incorrect storage;
  • choice of a product not suitable for the intended application;
  • use with incompatible machines, supports or accessories.

Any complaints must be sent to info@consiglioabrasivi.com, indicating order number, product code, description of the issue and, where useful, photographs of the product and packaging.

13. Technical products and safety of use

Many of the products sold are intended for technical, industrial, craft or professional applications.

The Customer is responsible for the correct use of the purchased products, in compliance with the manufacturer’s instructions, applicable safety rules and the use of suitable personal protective equipment.

The Seller is not liable for damage resulting from improper use, lack of skill, failure to comply with technical instructions or use of products in unsuitable applications.

14. Limitation of liability

The Seller is not liable for delays or non-performance due to force majeure, unforeseeable events, strikes, transport interruptions, supplier unavailability, technical problems not attributable to the Seller, measures by authorities or other events outside the Seller’s reasonable control.

In relationships with Professional Customers, the Seller is not liable for indirect damages, production losses, loss of profit, machine downtime, loss of orders or other consequential or indirect damages, except in cases of wilful misconduct or gross negligence.

The mandatory rights granted to Consumers by applicable law remain unaffected.

15. Privacy

The Customer’s personal data are processed as described in the privacy policy published on the website.

16. Changes to the terms

The Seller may update these Terms and Conditions of Sale at any time.

The terms applicable to each order are those published on the website at the time the Customer submits the order.

17. Applicable law and jurisdiction

These Terms and Conditions of Sale are governed by Italian law.

For disputes with Professional Customers, the Court of Milan shall have exclusive jurisdiction, unless otherwise agreed in writing.

For disputes with Consumers, jurisdiction lies with the court of the Consumer’s place of residence or domicile, if located within the Italian territory, according to applicable law.

The Consumer retains the right to access any alternative dispute resolution tools provided by applicable law.
